Event Terms and Conditions

These Event Terms and Conditions ("Terms") apply to your registration for and participation in any event hosted by Convex, Inc. ("Convex," "we," "our," or "us"), including, without limitation, the Abstract conference, meetups, workshops, and invite-only events (each, an "Event"). By registering for, RSVP'ing to, attending, or participating in an Event, you acknowledge that you have read, understood, and agree to be bound by these Terms, forming a binding agreement between you and Convex, Inc.

If you do not agree to these Terms, do not register for or attend the Event.

1. Registration and admission

Registration is completed through the applicable Event registration page (for example, abstract.convex.dev or a Convex page on Luma) and is subject to these Terms.

Certain Events, including Abstract, are free to attend but require an application. Submitting an application does not guarantee admission. Convex may accept, decline, waitlist, limit, or revoke any registration or application at any time, at our sole discretion and without liability to you.

Registrations are personal to you and may not be sold, transferred, or assigned without our prior written consent. Convex may change the Event program, speakers, schedule, format, or venue at any time.

If a registration fee applies to an Event, you must pay all applicable fees to attend. Fee and refund details, if any, will appear on the Event registration page.

2. Conditions of participation

To participate in an Event, you must:

  • Have the legal power and authority to enter into these Terms.
  • Have read and understood these Terms.
  • Comply at all times with the Convex Event Code of Conduct, which is incorporated into these Terms by reference.
  • Be at least 21 years old, or over the legal drinking age in the Event jurisdiction, to consume alcohol at any Event or Event function where alcohol is served.

3. Safety and security

You and your belongings may be subject to a reasonable search upon entry to an Event. Refusing to participate in security measures may result in denied entry.

Convex and Event representatives may deny you entry or require you to leave an Event if:

  • Your behavior raises safety or security concerns for Convex, attendees, speakers, partners, vendors, venue staff, organizers, or volunteers.
  • You violate these Terms or the Event Code of Conduct.
  • You engage in harassing or prohibited behavior and fail to stop immediately when asked.

If you are denied entry or removed, you will not receive a refund of any fees paid.

4. Your information

Convex handles the information you provide in connection with an Event, including registration and application details, in accordance with the Convex Privacy Policy. Where an Event is hosted on a third-party platform such as Luma, that platform's own terms and privacy policy also govern your use of the platform.

If an Event has co-hosts or partners, we may share your contact information with them, and their use of your information is governed by their own privacy policies.

5. Photography and recordings

Convex Events may be documented, filmed, photographed, and recorded. By attending an Event, you irrevocably grant Convex, its agents, employees, partners, and co-hosts the perpetual, worldwide, royalty-free right to capture, use, reproduce, modify, distribute, publicly display, and translate your name, voice, image, and likeness in any media, now known or later developed, for any purpose related to Convex's business, including marketing and promotion of future Events.

If you take photos or recordings at an Event and provide them to Convex, you grant Convex the same rights in those materials and represent that any participants featured in them have consented to such use.

To the maximum extent permitted by law, you irrevocably and perpetually waive any claims arising from such photos and recordings, including claims based on copyright, trademark, moral rights, rights of privacy or publicity, libel, or defamation, and you waive any right to inspect or approve the finished materials or to receive compensation for their use.

6. Feedback

You may provide Convex with ideas, suggestions, recommendations, or improvements ("Feedback") before, during, or after an Event. You hereby assign, and agree to assign, to Convex all right, title, and interest in and to such Feedback, and you will provide reasonable assistance to Convex in perfecting those rights. Convex may use Feedback without restriction or compensation to you.

7. Speaker and presented materials

If you speak or present at an Event, you retain ownership of your presentation materials. You grant Convex a perpetual, worldwide, royalty-free license to record, reproduce, distribute, publicly display, and make available your presentation and materials in connection with the Event and Convex's marketing. You represent that your materials do not infringe any third party's rights and that you have all permissions needed to grant this license.

8. Cancellation

Your cancellation. If you cannot attend, cancel your registration through the Event registration page so your spot can go to someone else. For paid Events, the refund policy on the Event registration page applies.

Convex cancellation. Convex may cancel, postpone, or modify all or any part of an Event at any time, for any reason, and may deny, limit, or cancel your registration at any time. Convex is not responsible for any damages, direct or indirect, arising from such cancellation or change, including travel or lodging costs. If Convex cancels a paid Event, refunds will be issued in accordance with the applicable refund policy.

Sections of these Terms that by their nature should survive (including Sections 5, 6, 7, 9, 10, 11, and 12) survive cancellation of the Event or completion of the Event.

9. Assumption of risk

Attendance and participation are entirely voluntary. You acknowledge that attending an in-person event carries inherent risks, including risks of illness, injury, property damage, or loss, and that you have carefully considered those risks and taken reasonable precautions. To the maximum extent permitted by law, you knowingly and voluntarily assume all risks associated with attending or participating in an Event.

10. Release, limitation of liability, and indemnification

Release. To the maximum extent permitted by law, you (and anyone claiming on your behalf) release, waive, and forever discharge Convex, its affiliates, partners, directors, officers, employees, contractors, representatives, volunteers, agents, successors, and assigns (the "Released Parties") from any and all claims, demands, damages, losses, and expenses of any kind ("Claims") arising out of or related to the Event, photos and recordings, or Feedback.

You expressly waive any rights under Section 1542 of the California Civil Code, and any similar law of any jurisdiction, which provides that a general release does not extend to claims a creditor does not know or suspect to exist at the time of the release.

Limitation of liability. To the maximum extent permitted by law, the Released Parties' total aggregate liability arising out of or related to these Terms, the Event, photos and recordings, or Feedback will not exceed the greater of (a) one hundred US dollars ($100) and (b) the registration fees you paid to Convex for the Event, if any. In no event will the Released Parties be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, regardless of the theory of liability, even if advised of the possibility of such damages.

Indemnification. You agree to indemnify, defend, and hold harmless the Released Parties from and against any third-party Claims, including reasonable attorneys' fees and costs, arising out of or related to your attendance at, participation in, or conduct at an Event, or your breach of these Terms.

11. Governing law and dispute resolution

These Terms and any dispute arising out of or relating to them or an Event ("Dispute") are governed by the laws of the State of California, without regard to its conflict of laws principles.

Any Dispute will be resolved by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator. Arbitration will be conducted in English in San Francisco, California, or another location the parties agree to in writing. Each party will bear its own costs, except that the prevailing party will be entitled to recover its reasonable costs and attorneys' fees. Judgment on the award may be entered in any court of competent jurisdiction.

To initiate arbitration, send a written demand describing your claim to marketing@convex.dev.

You and Convex each waive the right to a jury trial and the right to participate in a class action, to the maximum extent permitted by law.

12. General

  • Changes to these Terms. Convex may update these Terms by posting a revised version on our website or the Event registration page. By attending the Event, you agree to the most recent version of these Terms.
  • Compliance. You represent that you are not subject to sanctions or listed on any restricted party list, and that your attendance complies with all applicable laws.
  • Severability and waiver. If any provision of these Terms is found invalid or unenforceable, the remaining provisions stay in full force. Convex's failure to enforce any right is not a waiver of that right.
  • Force majeure. Convex is not liable for any failure or delay caused by events beyond its reasonable control, including natural disasters, epidemics, government action, labor disputes, terrorism, or war.
  • Entire agreement. These Terms, together with the Event Code of Conduct and any policies incorporated by reference, are the entire agreement between you and Convex regarding Event participation and supersede any prior agreements on that subject.
